Terms & Conditions (Training Terms)

These Terms & Conditions (“Terms”) apply to training and related services provided by IADM Ltd (“IADM”, “we”, “us”, “our”). By booking, purchasing, attending, or participating in any IADM training, you agree to these Terms.

2. Definitions

  • Client: the organisation, university, or individual purchasing training.

  • Participant: any person attending training.

  • Programme / Training: any course, workshop, certification programme, advisory session or related service delivered by IADM.

  • Booking: a confirmed order for Training (virtual or on-site).

  • Materials: training slides, templates, handouts, documents, recordings (if any), and all supporting resources.

3. Scope and order of precedence

These Terms govern all Training provided by IADM unless we agree otherwise in writing. If there is a conflict between:

1. A signed statement of work / written agreement,

2. A written proposal/quotation

3. These Terms, the documents apply in that order.

4. Bookings and confirmation

A Booking is confirmed when we provide written confirmation (email is sufficient) or when payment is completed (if applicable).

The Client is responsible for:

  • Ensuring Participants have the required prerequisites (where stated);

  • Providing accurate participant and invoicing details;

  • Ensuring Participants comply with these Terms and any joining instructions.

5. Fees, invoicing and payment

  • Fees are as stated in our proposal, booking confirmation, or on the relevant programme page.

  • Unless otherwise agreed, invoices are payable within 14 days of the invoice date.

  • We may require full payment in advance for certain bookings (e.g., public/cohort sessions or where credit checks are not possible).

  • Late payment may result in suspension of delivery, withholding of certificates, or cancellation of access.

VAT / Taxes

VAT treatment depends on the place of supply and Client status. Where VAT is applicable, it will be shown on the invoice. Where VAT is not applicable, the invoice will state this accordingly.

6. Delivery format and access

Live virtual delivery (e.g., via Zoom):

  • Participants must have a stable internet connection and suitable device.

  • The Client/Participant is responsible for their own connectivity and equipment.

  • We are not liable for disruption caused by third-party platforms or the Participant’s technical issues.

On-site / in-house delivery:

  • The Client must provide a safe, appropriate venue, equipment and access arrangements.

  • Any travel, accommodation, or on-site expenses will be agreed in advance (if applicable).

7. Changes, rescheduling and cancellation

7.1 Rescheduling by the Client (group/in-house bookings)

  • More than 14 days before delivery: reschedule once at no additional fee (subject to trainer availability).

  • 7–14 days: rescheduling fee of 25% of the booking fee (minimum £250).

  • Less than 7 days: 75% of the booking fee may be payable due to trainer allocation and preparation.

7.2 Cancellation by the Client:

  • More than 14 days: cancellation fee 15% of the booking fee (administration and preparation).

  • Less than 14 days: 75% of the booking fee may be payable.

7.3 Substitutions:

Participant substitutions are permitted at no additional cost, provided we are notified in advance and the substitute meets any prerequisites.

7.4 Changes or cancellation by IADM:
We may reschedule training due to circumstances outside our control (e.g., trainer illness, force majeure). In such cases we will, where practicable, offer:

  • An alternative delivery date, or

  • An equivalent trainer, or

  • A credit note/refund for the undelivered portion (at our discretion depending on circumstances).

8. Attendance, certificates and CPD hours

  • Certificates are issued only where attendance/participation requirements are met.

  • CPD hours are stated per programme where CPD accreditation applies.

  • Where a Participant does not attend, arrives significantly late, or leaves early, we may decline to issue a certificate or confirm CPD hours.

  • Certificate wording and format are determined by IADM and may be updated for quality assurance.

9. Intellectual property and permitted use

All intellectual property rights in the Training, Materials, and any related content belong to IADM (or our licensors).

Participants and Clients may use Materials for internal learning purposes only. Without our prior written consent, you must not:

  • Copy, reproduce, publish, sell, license, distribute or commercially exploit Materials;

  • Share Materials externally or upload them to public platforms;

  • Remove branding, copyright notices or watermarks.

10. Recording, confidentiality and conduct

Recording:

Audio/video/screen recording is not permitted without prior written consent from IADM.

Confidentiality:

Where confidential information is shared during Training, both parties agree to keep it confidential and not disclose it, except where required by law.

Conduct:

We reserve the right to remove any Participant for disruptive behaviour, harassment, or misuse of platforms. In such cases, no refund is due.

11. Data protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws. The Client confirms it has the necessary authority to share Participant details with us for administration and certification purposes.

12. Liability

To the maximum extent permitted by law:

  • We are not liable for indirect or consequential losses (including loss of profit, loss of business, loss of goodwill).

  • Our total liability for any claim arising from a Booking is limited to the fees paid for the specific Training giving rise to the claim.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

13. Force majeure

We are not liable for delay or failure to perform due to events beyond our reasonable control (including, without limitation, natural disasters, severe disruptions, strikes, pandemics, war, or major service outages).

14. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, unless mandatory local consumer protection law applies.
